These Terms and Conditions apply to all quotations, proforma invoices, order confirmations, sales, imports, exports, deliveries, and other agreements entered into by Amstel Linens.

1. Business-to-Business Sales

1.1 Amstel Linens supplies hotel linen, bedding, towels, hospitality textiles, furniture, accessories, and related products primarily to businesses.

1.2 These Terms apply exclusively to customers purchasing products for business, commercial, professional, resale, hospitality, accommodation, or organisational purposes.

1.3 By requesting a quotation, approving a sample, signing an order confirmation, paying a deposit, or placing an order, the Customer confirms that:

  • it is acting in the course of a business or profession;
  • it has authority to enter into the agreement; and
  • it accepts these Terms and Conditions and the Refund and Return Policy.

1.4 If Amstel Linens expressly agrees to sell to a consumer, mandatory consumer-protection laws will apply and take priority over any conflicting provision in these Terms.

2. Quotations and Orders

2.1 Quotations are valid for the period stated on the quotation. If no validity period is stated, the quotation will remain valid for 14 calendar days.

2.2 Quotations are based on the quantities, measurements, specifications, delivery address, shipping method, Incoterm, exchange rate, and other information available when the quotation is prepared.

2.3 An agreement becomes binding when one or more of the following occurs:

  • Amstel Linens provides written order confirmation;
  • the Customer signs or approves the quotation or proforma invoice;
  • the Customer pays the required deposit; or
  • production or procurement begins with the Customer’s approval.

2.4 Amstel Linens may correct obvious clerical, calculation, pricing, currency-conversion, or typographical errors.

2.5 Changes requested after order confirmation may result in additional charges and revised production or delivery schedules.

3. Products, Samples and Specifications

3.1 The Customer is responsible for checking all product descriptions, dimensions, colours, quantities, thread counts, fabric compositions, GSM weights, designs, branding, embroidery details, and delivery information before approving the order.

3.2 Samples, photographs, catalogues, digital images, colour charts, and product descriptions are indicative. Minor differences may occur between samples and bulk production.

3.3 Textiles may have reasonable commercial and manufacturing variations in:

  • dimensions;
  • shade or colour;
  • weight and GSM;
  • stitching;
  • thread count;
  • fabric finish;
  • texture; and
  • shrinkage after washing.

Such reasonable variations will not automatically be treated as defects.

3.4 Where a pre-production sample or design proof is provided, production will be based on the Customer’s written approval.

3.5 Amstel Linens is not responsible for errors in specifications, measurements, artwork, logos, colours, or wording supplied or approved by the Customer.

4. Custom-Made and Branded Products

4.1 Products manufactured in custom sizes, colours, specifications, packaging, or quantities are considered custom-made products.

4.2 Products carrying embroidery, printing, labels, logos, monograms, customised packaging, or other customer-specific branding are considered personalised products.

4.3 Custom-made and personalised products cannot normally be cancelled, returned, or refunded after production, procurement, cutting, embroidery, printing, or manufacturing has started.

4.4 The Customer confirms that it owns or has permission to use any logo, trademark, artwork, design, or other material provided to Amstel Linens.

5. Prices, Taxes and Duties

5.1 Prices are stated in the currency shown on the quotation or invoice.

5.2 Unless expressly stated otherwise, prices exclude:

  • VAT;
  • import duties;
  • customs charges;
  • destination taxes;
  • customs brokerage;
  • inspections;
  • storage or demurrage;
  • unloading;
  • special delivery equipment; and
  • other destination-related charges.

5.3 The party responsible for freight, customs clearance, duties, taxes, and insurance will be determined by the agreed Incoterm and the written quotation.

5.4 Exchange-rate movements, freight-rate changes, fuel surcharges, customs changes, government charges, and carrier surcharges occurring before final order confirmation may result in a revised quotation.

6. Payment

6.1 The payment schedule stated on the quotation, proforma invoice, or order confirmation will apply.

6.2 Unless otherwise agreed in writing, Amstel Linens may require:

  • a 50% deposit before production or procurement begins; and
  • payment of the remaining balance before dispatch, release of shipping documents, or delivery.

6.3 Deposits for custom-made, personalised, specially sourced, or manufactured products are non-refundable once production or procurement has started.

6.4 The Customer may not withhold or offset payment because of a complaint relating to another order.

6.5 Products remain the property of Amstel Linens until all amounts relating to the relevant order have been paid in full, insofar as permitted by applicable law.

6.6 Late payment may result in suspension of production, dispatch, document release, delivery, warranty handling, or further orders.

6.7 The Customer will be responsible for reasonable debt-recovery costs, collection costs, and applicable statutory commercial interest.

7. Cancellation

7.1 Cancellation requests must be submitted in writing.

7.2 Cancellation is only effective after written acceptance by Amstel Linens.

7.3 If cancellation is accepted, the Customer must pay for all costs already incurred, including:

  • materials;
  • production;
  • labour;
  • customised packaging;
  • branding;
  • storage;
  • administration;
  • freight bookings; and
  • supplier cancellation charges.

7.4 Once custom production, embroidery, printing, procurement, or shipping has begun, Amstel Linens may refuse cancellation.

8. Delivery and Shipping

8.1 Delivery dates and transit times are estimates unless Amstel Linens expressly confirms a guaranteed delivery date in writing.

8.2 Production time and shipping time are separate. Transit time starts only after the products are ready and have been handed over for shipment.

8.3 Delivery may be made under EXW, FCA, FOB, CFR, CIF, CPT, CIP, DAP, DPU, DDP, or another agreed shipping arrangement. The applicable Incoterm and named location will be shown on the quotation or order confirmation.

8.4 Unless otherwise stated, Incoterms® 2020 apply.

Full Container Load — FCL

8.5 Full Container Load shipping is normally faster and more predictable than Less than Container Load shipping.

8.6 Based on the usual routes used by Amstel Linens, an FCL sea shipment normally requires approximately 35 to 45 days, depending on the origin, destination, vessel schedule, customs, and port conditions.

8.7 These times are indicative and are not guaranteed.

Less than Container Load — LCL

8.8 LCL shipments must be consolidated with cargo belonging to other shippers. This can create additional waiting, handling, loading, and transshipment time.

8.9 Before departure, an LCL shipment may wait approximately 20 days at a consolidation facility or port while sufficient cargo is collected and a suitable vessel is arranged.

8.10 After the first vessel departs, the shipment may be unloaded, reconsolidated, or held at another port while waiting for connecting cargo or another vessel.

8.11 Smaller LCL shipments may therefore take approximately 20 to 30 days longer than comparable FCL shipments.

8.12 An LCL sea shipment normally requires approximately 60 days, but it may take longer depending on consolidation, vessel schedules, transshipment, customs, port congestion, and carrier operations.

8.13 Amstel Linens recommends FCL shipping where the Customer requires a more predictable delivery schedule or has sufficient order volume.

8.14 By choosing LCL shipping, the Customer acknowledges and accepts the possibility of consolidation delays, transshipment delays, additional handling, and longer transit times.

9. Delays

9.1 Amstel Linens will take reasonable steps to meet the estimated delivery schedule but will not be responsible for delays caused by circumstances outside its reasonable control.

9.2 Such circumstances may include:

  • LCL consolidation;
  • vessel cancellation or rescheduling;
  • transshipment;
  • port congestion;
  • customs inspections or clearance;
  • strikes or adverse weather;
  • war or political disruption;
  • government restrictions;
  • shortage of containers;
  • carrier delays or transport breakdown;
  • supplier delays;
  • raw-material shortages;
  • epidemics or public-health restrictions; and
  • force majeure.

9.3 An estimated delivery date does not constitute a guaranteed or essential delivery deadline.

9.4 A delay will not automatically entitle the Customer to cancel an order, reject the products, refuse payment, claim compensation, or demand a refund.

9.5 If a guaranteed delivery deadline is essential, it must be expressly agreed in writing before the order is confirmed and may involve additional freight or production charges.

9.6 Amstel Linens is not responsible for loss of profit, lost bookings, room closures, substitute purchases, operational disruption, or other indirect losses resulting from a delay.

10. Customs and Import Requirements

10.1 The party responsible for customs clearance will be determined by the agreed Incoterm.

10.2 Where the Customer is responsible for import clearance, the Customer must provide all necessary company information, registrations, licences, permits, tax numbers, product information, and customs documentation promptly.

10.3 Amstel Linens is not responsible for delays or charges resulting from:

  • incorrect information supplied by the Customer;
  • missing import licences or registrations;
  • customs inspections;
  • changes in import rules;
  • non-payment of duties or taxes;
  • failure to appoint a customs broker; or
  • failure to collect or clear the shipment.

10.4 Storage, demurrage, detention, redelivery, customs, and port charges caused by the Customer’s delay or failure to complete import formalities will be payable by the Customer.

11. Risk and Transport Damage

11.1 Risk of loss or damage transfers according to the agreed Incoterm.

11.2 The Customer must inspect the packaging and shipment at delivery.

11.3 Visible transport damage, missing cartons, or damaged packaging should be recorded on the carrier’s delivery document before the shipment is accepted.

11.4 The Customer must provide photographs, videos, carton counts, labels, packing information, and other evidence reasonably requested by Amstel Linens.

11.5 Signing a delivery document without noting visible damage may limit the ability to make a transport claim.

12. Inspection and Product Claims

12.1 The Customer must inspect the products promptly after delivery and before washing, using, reselling, distributing, or providing them to guests.

12.2 Visible shortages, incorrect products, or visible defects must be reported in writing within five business days after delivery.

12.3 A concealed defect must be reported promptly after discovery.

12.4 A claim must include:

  • the invoice or order number;
  • the affected product and quantity;
  • a detailed explanation;
  • photographs or videos;
  • carton and product labels; and
  • any batch or packaging information available.

12.5 Products must not be washed, used, altered, embroidered, relabelled, resold, or disposed of while a claim is being investigated unless Amstel Linens gives written permission.

12.6 Amstel Linens may inspect the products, request samples, arrange an independent inspection, repair the products, replace the affected quantity, issue a credit, or approve a return.

13. Returns and Refunds

13.1 Returns and refunds are governed by the separate Amstel Linens B2B Refund and Return Policy, which forms part of these Terms and Conditions.

13.2 No return may be sent without written return authorisation and return instructions from Amstel Linens.

13.3 Unauthorised returns may be refused or held at the Customer’s cost.

14. Liability

14.1 Amstel Linens will not be liable for indirect, incidental, special, or consequential loss, including loss of revenue, profit, bookings, contracts, goodwill, business opportunities, or anticipated savings.

14.2 Subject to mandatory law, the total liability of Amstel Linens relating to an order will not exceed the amount paid for the specific products giving rise to the claim.

14.3 Nothing in these Terms excludes liability that cannot legally be excluded or limited.

14.4 The Customer is responsible for confirming that the products are suitable for its intended commercial use, laundering process, machinery, local regulations, and operating requirements.

15. Force Majeure

15.1 Amstel Linens will not be considered in breach of contract where performance is prevented or delayed by circumstances outside its reasonable control.

15.2 During a force-majeure event, Amstel Linens may suspend performance, extend the delivery schedule, offer an alternative product or shipping method, or cancel the affected part of the agreement.

15.3 Amounts already spent on completed production, customised products, materials, freight, storage, or third-party commitments will remain payable.

16. Confidentiality and Intellectual Property

16.1 Quotations, product designs, pricing structures, catalogues, photographs, samples, and commercial information supplied by Amstel Linens remain confidential and may not be shared with competitors or used to obtain competing production without permission.

16.2 The Customer may not reproduce or use Amstel Linens’ website content, photographs, branding, designs, or documents without written approval.

17. Governing Law and Disputes

17.1 These Terms and all agreements with Amstel Linens are governed by Dutch law.

17.2 Unless expressly agreed otherwise, the United Nations Convention on Contracts for the International Sale of Goods is excluded.

17.3 The parties will first attempt to resolve disputes through good-faith commercial negotiation.

17.4 If a dispute cannot be resolved, it will be submitted to the competent Dutch court in the district where Amstel Linens has its registered place of business, unless mandatory law requires otherwise.

18. Final Provisions

18.1 If any provision is held invalid or unenforceable, the remaining provisions will continue to apply.

18.2 Any variation from these Terms must be confirmed by Amstel Linens in writing.

18.3 In the event of inconsistency, the following order of priority applies:

  • the written order confirmation;
  • the accepted quotation or proforma invoice;
  • any written special agreement;
  • these Terms and Conditions; and
  • the Refund and Return Policy.

18.4 Amstel Linens may update these Terms from time to time. The version supplied or available when the order is confirmed will apply to that order.
